By accessing or using Vplaza (the "Platform", "App", or "Website"), which is owned and operated by Velux World Ltd("we", "us", or "our"), you agree to comply with and be bound by these Terms of Usage. If you do not agree to these terms, please do not access or use the Platform.

These Terms, along with our Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute a binding legal agreement between you and Velux World Ltd.

Vplaza is an AI-based e-commerce platform that allows users to find products they are in search of around them. Our system leverages advanced artificial intelligence to match buyer search requests with local inventory and nearby sellers.

• AI Search Matching: Vplaza parses your search requests using AI to optimize matches based on proximity, relevance, and availability.
• Proximity Focus: Transactions and listings are optimized based on your location data to facilitate local commerce.
• Platform Role: Vplaza provides the matching infrastructure, AI tools, and payment safeguards. We do not manufacture, store, or inspect the products listed by third-party sellers.

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Mandatory Identity Verification (NIN): Sellers must complete National Identification Number (NIN) verification upon creating a store account. Buyers must complete National Identification Number (NIN) verification when creating or setting up their escrow account to perform trades on the app.
• Maintain the security of your account credentials and immediately notify us of any unauthorized access.
• Be fully responsible for all activities that occur under your account.
• Be at least 18 years of age (or the age of majority in your jurisdiction) to initiate trades or engage with the escrow system.

To foster trust in local proximity transactions, Vplaza operates a secure inbuilt escrow system:

• Offline Meetups Allowed: Vplaza is a proximity platform; users are permitted to coordinate meetups and perform physical offline transactions outside of the app (e.g. paying cash upon delivery/pickup).
• Mandatory In-App Escrow: For any transaction conducted or processed directly within the Vplaza application or website, the built-in escrow system is mandatory. Bypassing the escrow system for orders logged in the app is strictly prohibited.
• Holding Funds: For in-app transactions, when a buyer purchases an item, the money is charged and held in our secure inbuilt escrow account.
• Release of Funds: The escrowed funds are released to the seller only after the buyer confirms through the Vplaza app or website that they have received the product.
• Buyer Obligation: Buyers must confirm receipt promptly once the item is received in the described condition. If the item is not delivered or is defective, the buyer must immediately initiate a dispute in the app instead of confirming receipt.
• Arbitration Rights: If a dispute arises and parties cannot agree, Velux World Ltd reserves the right to review transaction details, messages, and evidence to decide on the distribution of escrowed funds.

Velux World Ltd provides the platform "as is" without warranties of any kind.

• Interactions: You are solely responsible for your interactions with other users. While our escrow system provides financial trust, we are not liable for physical safety, quality of products, or conduct of buyers/sellers during handovers.
• Limitation of Liability: In no event shall Velux World Ltd, its directors, or employees be liable for any indirect, punitive, or consequential damages arising from the use of the platform.

We reserve the right to modify these Terms of Usage at any time. Changes take effect immediately upon posting. Your continued use of Vplaza after such modifications constitutes your acceptance of the updated terms.
